Management

Joe Reece – Co-Managing Member
Joe has more than 35 years of experience in identifying, investing in, and advising growing companies, as well as building and leading large, complex, and global organizations.
Prior to co-founding SilverBox Capital in 2020, Joe previously founded Helena Capital, an affiliated merchant bank, and held the position of Chief Executive Officer from 2015 to 2017, and then again from 2018 to 2020. Additionally, Joe served as Executive Vice Chairman and Head of UBS Securities, LLC’s Investment Bank for the Americas from 2017 to 2018 and was also Co-Head of Risk. Prior to working at UBS, Joe worked at Credit Suisse from 1997 to 2015, in roles of increasing responsibility, including serving as Global Head of Equity Capital Markets, where he led more than 500 equity capital markets transactions, Co-Head of Credit Risk, where he oversaw all aspects of credit risk for the Investment Bank and also served on the Investment Committee for Credit Suisse’s direct equity investment business that focused on minority growth investments in private technology and services companies with a particular focus on financial services. Joe also chaired the Equity Valuation Committee and served on the Global Operating Committees for both Investment Banking and Securities. During his tenure at Credit Suisse, Joe worked on investments and equity offerings for a broad array of companies including AlibabaGroup Holdings Limited, IHS Markit, Sunpower, First Republic Bank, AIG, and Third Point Reinsurance. Joe’s prior experience includes practicing as an attorney for ten years, including at the law firm of Skadden, Arps, Slate, Meagher & Flom LLP and at the United States Securities Exchange Commission, where he ultimately served as Special Counsel to the Division of Corporation Finance.
Joe has been a member of the board of directors of numerous companies including Compass Minerals Inc. where he has been on the Board since 2019 and has served as its Chairman since 2021. He has also been a member of the Board of Directors of Quotient Technologies Inc. since May 2022 and NCR Corporation since November 2022. Joe previously served as a member of the board of directors of SilverBox Engaged Merger Corp I., UBS Securities, LLC, Atlas Technical Consultants, Inc. and its predecessor company, Boxwood Merger Corp., Del Frisco’s Restaurant Group, Inc., RumbleOn, Inc, CST Brands, Inc., and LSB Industries, Inc. Mr. Reece also currently serves on the board of the Foundation for the University of Akron and Chair-ity, Inc. and has previously served on the boards of directors of the Georgetown Law Center, KIPP, The Fulfillment Fund, and the New York Foundation for the Arts.
Joe is a graduate of Georgetown University Law Center and the University of Akron.

Steve Kadenacy – Co-Managing Member
Steve has more than 30 years of experience, with a particular expertise in managing, building and growing global organizations, with significant transactional experience in capital markets and M&A.
Prior to co-founding SilverBox Capital and its predecessor, Boxwood Capital, Steve served in several senior leadership roles at AECOM, a global engineering and technical services company, from 2008 to 2017, including serving as its President, Chief Operating Officer, and Chief Financial Officer. During his tenure at AECOM, AECOM grew its revenues from approximately $5 billion of revenues in 2008 to approximately $18 billion in 2017, leading the transformation of AECOM from a holding company to an integrated service platform. During this time, Steve led over 20 acquisitions, including its $6 billion acquisition of URS and led the integration of 38 companies, including those that were acquired prior to his tenure. Steve also led AECOM’s capital raising and investor relations activities, developing a close relationship with AECOM’s investors, analysts and investment banks. Previously, Steve spent 12 years with KPMG and was a Partner in its Economic Consulting group.
Steve previously served as a CEO of SilverBox Engaged Merger Corp I and was a member of the Board of Directors of Atlas Technical Consultants, Inc. and its predecessor company, Boxwood Merger Corp., and ABM Industries, a provider of facility management services. Steve was also formerly on the Board of the YMCA of Greater Los Angeles and the Board of Trustees for the UCLA’s Anderson School of Business.
Steve received his MBA from USC and his Bachelor’s degree in Economics from UCLA.

Duncan Murdoch – Chief Investment Officer
Duncan has over 20 years of experience in private equity, with significant leadership experience of investment teams and deep investment experience across sectors, strategies and capital structure.
Prior to joining SilverBox Capital and its predecessor, Boxwood Capital, Duncan spent 17 years at Macquarie Capital in New York, where he was a Senior Managing Director. At Macquarie, Duncan served as Co-Head of its Principal Transactions Group US and Co-Head of the Industrials Group, as well as serving on committees including the US Capital Commitments Committee and the US Operating Committee. While at Macquarie Capital, Mr. Murdoch led investments and acquisitions on behalf of Macquarie Capital and funds managed by affiliates of Macquarie Capital across multiple sectors, including infrastructure, business services, environmental services, aerospace, and consumer. Previously, Mr. Murdoch worked for BMO Nesbitt Burns Inc. in Toronto, for Macquarie in Sydney in their Corporate Advisory Group, and for justices in the Commercial Division of the Supreme Court of New South Wales, Australia.
Mr. Murdoch has served on the board of directors of numerous private companies, including Brek Manufacturing Company, Utility Service Partners, Inc., Puralube, Inc., Icon Parking Systems, Smarte Carte, Inc., DNEG, Anaergia Inc., MST Global, and Skis Rossignol S.A., and has been a board observer at companies including American Express Global Business Travel and Inspired Entertainment.
Duncan received his MBA from Stanford University, a Bachelor of Laws (First Class Honors) from the University of Sydney and a Bachelor of Economics from the University of Sydney.

Jin Chun – Chief Operating Officer
Jin has over 20 years of experience, mostly as a private equity investor, but also with extensive experience in creating new growth platforms.
Prior to joining SilverBox Capital, Jin spent over 15 years at Macquarie Capital where he was a Managing Director in its principal investing group. At Macquarie, Jin was primarily responsible for sourcing, executing and managing investments on behalf of Macquarie Capital and funds managed by affiliates of Macquarie Capital. Past investments have included debt, preferred equity and common equity investments across technology, financial services, infrastructure, travel and leisure, and gaming sectors. Jin was also responsible for leading Macquarie’s growth into several new areas, including leading Macquarie’s SPAC sponsorship and investing business, creating a partnership with a secondary private equity fund, and helping to start a de novo insurance company sponsored by Macquarie. Prior to joining Macquarie in 2005, Jin began his career at Dresdner Kleinwort Wasserstein (formerly Wasserstein, Perella & Co.) in its industrial M&A team.
Jin has served as a member or an observer of numerous private and public company Boards, including American Express Global Business Travel, Atlas Technical Consultants, Inc., Inspired Entertainment and Yatra Online. Jin also serves on the board of directors of Read Ahead, Inc.
Jin received his Master of Finance with Distinction from INSEAD, and his Bachelor of Science degree from Columbia University.

Dan Esters – Chief Financial Officer
Dan has over 30 years of experience, with extensive experience in all types of M&A, financing and investment transactions, as well as experience as a public company CFO.
Prior to joining SilverBox Capital and its predecessor, Boxwood Capital, Dan spent 24 years serving in a variety of capacities at several investment banks where he accumulated extensive transaction experience, closing transactions representing over $30 billion of value. His roles included origination, due diligence assessment, structuring, negotiation and marketing of a wide range of merger and acquisitions, debt financings, restructurings and public equity offerings. From 2014 to 2018, Dan served as a managing director of M&A Capital LLC, a boutique investment banking firm and independent sponsor private equity investor. From 1996 to 2014, he served in the Investment Banking department of Jefferies LLC, where his last role was as Managing Director within the firm’s financial sponsor group. Previously, Dan served with the Investment Banking department of PaineWebber, Inc. and with the audit practice of accounting firm Price Waterhouse LLC, where he earned his C.P.A. license.
Dan received his MBA from the UCLA Anderson School of Management his Bachelor’s degree in economics from UCLA .

David Lee – General Counsel
David has more than 25 years of experience in representing private equity firms (and their portfolio companies) and owners of U.S. middle market companies as legal counsel. He formerly served as the General Counsel of Boxwood Merger Corp. until its business combination with Atlas Technical Consultants, Inc., from November 2018 to February 2020. He is the founder and Manager of Co-Counsel, LLC (a boutique M&A law firm established in October 2017) and the founder and Manager of Atrium Exit, LLC (a legal technology company established in August 2019). Mr. Lee served as Special Counsel at Jenner & Block LLP from October 2015 to September 2017, as Chief Executive Officer and Co-Founder of 10x Market, LLC from January 2013 to October 2015, and as Partner at DLA Piper LLP from December 2010 to December 2012. Prior to that, he served as Partner at Mayer Brown LLP from January 2007 to December 2010, as Partner at Kaye Scholer LLP from 2005 to 2006, as Partner at Kirkland & Ellis LLP from 2002 to 2004 and as Associate at Kirkland & Ellis LLP from 1996 to 2002. Mr. Lee holds a Bachelor’s degree in political science from the University of Chicago and a law degree from Northwestern University School of Law.

Richard A. Gadboise
Richard A. Gadbois, who will serve as one of our independent directors, is currently Chairman of HS Group, an Asia alternative asset management-seeding firm and a director at Argyle Street Management Limited Hong Kong, where he has served since 2008. Mr. Gadbois currently serves on the advisory board of Main Management, LLC, a San Francisco-based investment management firm, where he co-founded thefirm’s Core Endowment Portfolio in 2007. Mr. Gadbois formerly served on the Board of Boxwood Merger Corp. from November 2018 to February 2020. Previously, Mr. Gadbois was a senior advisor to Oakmont Corporation, a $2.5 billion family office, from 2015 to 2018. Mr. Gadbois also served as the Chief Executive Officer of Roth Asset Management, Inc. from 2010 to 2013 at which time he also co-founded GROW Partners LLC, a privately-owned hedge fund sponsor, and served as Managing Director of EAM Investors, LLC, a majority-employee-owned, institutionally-focused investment management boutique. From 2001 to 2006, Mr. Gadbois co-founded and served as President of Vantis Capital Management LLC, a long-short equity fund with offices in New York and Los Angeles. Prior to this, Mr. Gadbois served as a Senior Vice President with Merrill Lynch, Pierce, Fenner & Smith Incorporated from 1994 to 2001, Prudential Securities from 1989 to 2004 and Shearson Lehman Hutton from 1980 to 1989. Mr. Gadbois holds a Bachelor’s degree in economics from the University of California at Santa Barbara and is a Founder and Trustee Emeritus of the Sage Hill School. Mr. Gadbois has served on the Investment Committee for the Orange County Community Foundation and the Pacific Symphony for more than 10 years.

Juan I. Creixell
Juan I. Creixell, who will serve as one of our independent directors, is currently a Partner at Custos Family Office, a financial advisory firm, and sits on its investment committee. Prior to Custos, Mr. Creixell was at the JPMorgan Private Bank from May 2007 to November 2020, where he served Ultra High Net- Worth families both in Houston and in Austin, and where he was Head of Investments for Central and South Texas. Mr. Creixell began his career as an analyst at Chase Manhattan Bank, and subsequently worked in New York City as a trader at several investment banks including JPMorgan, Commerzbank Securities and Jefferies Securities. Mr. Creixell holds a Bachelor of Business Administration from the University of Texas at Austin and a Master of Business Administration from University of Wisconsin — Madison. He also serves on the board of the St. Louise House, the board of trustees and the Alumni Association board of St. Michael’s Catholic Academy, and is on the finance committee for Seton Ascension Texas Healthcare system. Mr. Creixell is well-qualified to serve on the board of directors due to significant experience in the areas of investments and finance.

Katie O’Reilly
Katie O’Reilly, who will serve as one of our independent directors, is currently Managing Director at Prosek Partners, an integrated marketing, PR and communications firm, a position she has held since January 2022. Previously, she spent 15 years at the Milken Institute, a non-profit, non-partisan think tank, as its executive director of business and program development overseeing the organization’s revenue generation from December 2012 to January 2022 and in various other leadership positions beginning in February 2007. She began her career as a community organizer and policy analyst for the Los Angeles Coalition to End Hunger and from 2001 to 2003 and served as Senior Fundraiser for United Way from 2003 to 2007. She currently serves as a Senior Advisor to the Milken Institute and on the Advisory Board of the Global Fund to End Slavery. She is also co-chair with Sarah Murdoch of the USBoard of the Murdoch Children’s Research Institute and serves on the advisory board of Beyond Barriers, a platform committed to accelerating women in leadership.

Dean Hollis
Dean Hollis brings significant experience in the food and consumer sector, especially in the area of natural and organic foods. Mr. Hollis has been Chair of the Board of Hain Celestial Group, a company focused on natural and organic foods since December 2018, and Chair of the Board of SunOpta Inc., a company focused on plant-based foods and beverages, since October 2016. He is a senior advisor for Oaktree Capital, a global alternative asset management firm. Prior to 2008, Mr. Hollis was President and Chief Operating Officer, ConAgra Foods, Consumer Foods and International. In that role, Mr. Hollis developed and executed a worldwide business strategy, while overseeing the largest part of the ConAgra Foods portfolio, consisting of over 40 global brands in 110 countries as of 2008. Mr. Hollis has also previously served on the boards of Diamond Foods, Inc., a leading branded snacks supplier, until its sale to Snyder’s-Lance Inc., and of Boulder Brands, a leader in health and wellness foods, until its sale to Pinnacle Foods. He has also served on the board of Landec Corporation, a developer and marketer of patented polymer products for food, agriculture and licensed partners applications.

Glenn Marino
Glenn Marino brings 40 years of experience in the consumer retail finance industry. He has served on the board of directors of Rent-A-Center, Inc. since 2020. Mr. Marino previously served as Executive Vice President, CEO — Payment Solutions and Chief Commercial Officer of Synchrony Financial, Inc., from 2014 until 2018. Prior to the spin-off in 2014 of Synchrony by General Electric Corporation, Mr. Marino was an executive with the North American retail finance business of General Electric, serving as CEO — Payment Solutions and Chief Commercial Officer from 2012 – 2013, and CEO — Sales Finance from 2001 to 2011. From 1999 to 2001, Mr. Marino served as CEO of Monogram Credit Services, a joint venture between GE and BankOne (now JPMorgan Chase & Co.). Prior to that, Mr. Marino held various roles of increasing responsibility in finance, business development, credit risk, and marketing with General Electric and Citibank.

David Palmer
David Palmer brings significant experience in the hospitality sector, as well as expertise in consumer subscription businesses. Mr. Palmer is the founder of Bernoulli | Locke, LLC, a Wyoming-based membership club focused on luxury experiential hospitality. Mr. Palmer was the President and Chief Executive Officer and a member of the Board of Directors of Diamond Resorts International, Inc., a resort management and timeshare membership company, from 2013 to 2016. Prior to becoming the Chief Executive Officer at Diamond Resorts International, Mr. Palmer was the President and Chief Financial Officer of its predecessor company, Diamond Resorts Parent, LLC, from 2007 to 2013.

Sunit Patel
Sunit Patel brings more than 30 years of experience, with significant expertise in the telecommunications sector as a member of senior leadership teams. Mr. Patel previously served as the T-Mobile U.S. Executive Vice President, Merger and Integration Lead, from 2018 to 2020. Prior to T-Mobile Mr. Patel, was Executive Vice President and Chief Financial Officer of CenturyLink from 2017 to 2018, and Executive Vice President and Chief Financial Officer of Level 3 Communications Inc., from 2003 to 2017, until the merger with CenturyLink in 2017. Prior to that Mr. Patel served in senior leadership positions in a number of telecom companies, and began his professional career in investment banking.

Thomas Werner
Thomas Werner brings significant experience with technology companies, especially in the renewable energy and semiconductor sectors. Mr. Werner was formerly the Chief Executive Officer and a member of the Board of SunPower Corporation, a leading global solar energy company, from 2003 until 2020, and Chairman of the Board from 2011 until 2021. Before joining SunPower, he held the position of Chief Executive Officer of Silicon Light Machines, Inc., an optical solutions subsidiary of Cypress Semiconductor Corporation, from 2001 to 2003. From 1998 to 2001, Mr. Werner served as Vice President and General Manager of the Business Connectivity Group of 3Com Corp., a network solutions company. He has also held a number of executive management positions at Oak Industries, Inc. and General Electric Co. Mr. Werner currently serves as a board member of Cree, Inc., a LED manufacturer, and the Silicon Valley Leadership Group. He served as a member of the board of directors of Silver Spring Networks, a provider of smart grid applications, from March 2009 to January 2018.

Joe Hurd
Mr. Hurd has been the Global Managing Director, Corporate Development at SOSV LLC, a multi-stage venture capital fund since October 2019 and the founder and managing partner of The Katama Group LLC, a strategic advisory consultancy based in Los Altos, California since September 2004. He is also a Venture Partner with Good Growth Capital, an early-stage technology venture fund, a position he has held since July 2019. Since February 2018, he has served as a Non-Executive Director of GoCo Group plc, a UK-based financial services comparison website, where he serves on the remuneration and nomination committees. Previously, Mr. Hurd was the Director, Emerging Businesses at Facebook from January 2016 until June 2017 and the Vice President, Strategy & Business Development at Gannett from October 2013 until October 2015. From 2009 to 2012, he served as a political appointee in the United States Department of Commerce, where he was on the White House Business Council. Prior to that, Mr. Hurd held senior executive roles at VideoEgg, Friendster and AOL, and started his professional career as a corporate securities lawyer at Linklaters LLP.

Natalie Rothman
Ms. Rothman is a successful corporate executive with over twenty years of experience working in consumer products, foodservice, beauty, retail and auto. Ms. Rothman has served as the Executive Vice President, Chief Human Resources Officer for Advance Auto Parts since May 2016. Previously, Ms. Rothman served in human resources leadership roles at PepsiCo from 2006 to 2016. She also worked as an employment attorney with the law firm Brown Raysman in New York from 2003 to 2006. Prior to Brown Raysman, she served in recruiting and talent management roles with The Estee Lauder Companies, FreeRide.com, LLC and Gundersen Partners, LLC.

Michelle McKinney Frymire
Michelle Frymire is a senior executive with 30 years of experience in driving growth and transformation at both public and private companies worldwide. Most recently, Michelle served as Chief Executive Officer of CWT, the world’s second largest travel management platform that manages business travel, meetings and events for some of the world’s largest global companies. Prior to her appointment as CEO in April 2021, she had previously been its President, Strategy & Transformation and Chief Financial Officer from September 2020 to May 2021, Chief Finance and Strategy Officer from May 2020 to September 2020, and Chief Financial Officer from January 2019 to May 2020. She has been a member of the Board of Directors of Spirit Realty Capital, Inc. (NYSE: SRC) since May 2021 and a member of the Board of Directors for Sonder, Inc. (NASDAQ: SOND) since September 2022. Prior to joining CWT, Ms. Frymire was Chief Financial Officer for U.S. Risk Insurance Group, LLC, a privately owned specialty lines underwriting manager and wholesale broker from 2017 to 2019. From 2015 to 2017 she served as Chief Financial Officer for Service King Collision Repair Centers. From 2009 to 2015 she served in a variety of roles for The Service Master Companies, Inc., most recently as Vice President, Corporate FP&A and Strategy. From 2009 to 2013, Ms. Frymire was Chief Financial Officer for TruGreen and from 2005 to 2009, Ms. Frymire was Chief Financial Officer, Vacation Ownership for Starwood Hotels & Resorts Worldwide, Inc. From 1998 to 2005, Ms. Frymire served in a variety of roles for Delta Air Lines, Inc., including Vice President, Finance, Marketing, International, Network and Technology. Prior to this, Ms. Frymire was the Managing Director, Financial Planning, Analysis and Systems for Continental Airlines from 1994 to 1998. Lastly, from 1991 to 1994, Ms. Frymire was Senior Financial Analyst, FP&A with American Airlines Group, Inc. She currently serves on the Board of Directors for Family Gateway in Dallas, Texas, a non-profit assisting homeless children and their families, and is a Trustee at Greenhill School in Addison, Texas.

Keith Williamson
Keith Williamson currently serves on the Board of Directors of PPL Corp (NYSE: PPL), as well as serving as the President of the Centene Charitable Foundation, a provider of managed healthcare services since 2020. Prior to serving as President, from 2012 to 2020 Mr. Williamson served as the Executive Vice President, Secretary and General Counsel of Centene Corporation. From 2006 to 2012, Mr. Williamson was Senior Vice President, Secretary, and General Counsel of Centene Corporation. Before his position at Centene Corporation, Mr. Williamson was President of the Capital Services Division of Pitney Bowes Inc. from 1999 to 2006, and had and various positions in tax, finance and legal groups, including oversight of the treasury function and rating agency activity from 1988 to 1998.

Arik Prawer
Arik Prawer brings 20 years of experience related to real estate. Arik currently serves as Co-President of Builder’s Capital. Prior to this, he served as President of the Homes Division at Zillow Group and had oversight of buying, renovating and selling homes through Zillow Offers. Mr. Prawer had oversight of the Company’s mortgage and title and escrow business as well. Before joining Zillow in 2018, Mr. Prawer was a pioneer in the single-family retail section, most recently as Chief Integration Officer of Invitation homes, the largest single family home retailer in the United States following its merger with Starwood Waypoint Homes. Prior to the merger, Mr. Prawer was CFO of its predecessor Colony Homes, helping oversee the Company’s rapid growth since its founding in 2012, including orchestrating approximately $40 billion of M&A and capital market transactions.
